Terms of Service

1. The Service

TradeManager helps importers, exporters and customs brokers prepare the invoices, product records and other trade documents a shipment needs. It is a tool for preparing information. It does not file customs entries, and it is not legal, customs or tax advice. You and your customs broker remain responsible for the accuracy and completeness of everything submitted to a government agency, including classifications, values, origin and the information other agencies require.

2. Accounts and security

• Give accurate information when you create an account, and keep it up to date.
• Keep your password and second sign-in step to yourself. You are responsible for what happens under your account.
• Tell us promptly if you believe your account has been used without your permission.
• An administrator of your company, or the broker that invited you, may manage your access and see the work you do in their workspace.

3. Text messages

If you choose text message as your second sign-in step, TradeManager sends one-time verification codes to the mobile number you give. Agreeing to receive them is optional; an authenticator app or email works instead.

• Program name: TradeManager. Program description: one-time verification codes sent by RBD Studios Inc. when you sign in to TradeManager or set up text message as your second sign-in step. Messages carry only sign-in and verification codes, never marketing.
• Message frequency: one message each time you sign in using SMS verification, unless you choose to remember your browser for 30 days. Frequency varies with your sign-in activity.
• Message and data rates may apply, according to your mobile plan.
• Reply HELP for help. Customer support: support@rbdstudios.net.
• Reply STOP to opt out. You will receive one message confirming it and no more; choose another sign-in method in Settings > Security to keep signing in.
• Mobile carriers are not liable for delayed or undelivered messages.

4. Acceptable use

You agree not to:

• use the Service for anything unlawful, or to prepare documents you know to be false or misleading;
• try to reach data, accounts or workspaces you have not been given access to;
• interfere with, overload, probe or reverse engineer the Service, except where the law allows it;
• resell or share access to the Service except as your agreement with us allows.

5. Your data

You keep ownership of the information you put into the Service. You give us permission to store, process and display it only as needed to provide, secure and support the Service for you and the people you share it with, such as your broker. How we handle personal information is described in our Privacy Policy.

6. Third-party services

The Service relies on others to run, for example cloud hosting, message delivery and, where you use them, AI-assisted features. Their availability is outside our control, and content you send through an AI-assisted feature is processed by its provider to produce the answer.

7. Fees

Any fees for the Service are set out in a separate order or agreement. Sandbox and trial accounts may be limited or ended at any time.

8. Disclaimers

The Service is provided “as is” and “as available”. To the fullest extent the law allows, we make no warranties, express or implied, including that the Service will be uninterrupted or error-free, or that tariff, regulatory or reference information in it is complete or current. Check anything you rely on against the official source.

9. Limitation of liability

To the fullest extent the law allows, RBD Studios Inc. is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, duties, penalties or goods, arising from your use of the Service. Our total liability for any claim is limited to the amount you paid us for the Service in the twelve months before the claim.

10. Suspension and termination

You may stop using the Service at any time. We may suspend or end access that breaks these Terms, puts the Service or other users at risk, or is required by law. Sections that by their nature should survive (your data, disclaimers, limitation of liability) survive termination.

11. Changes to these Terms

We may update these Terms. The effective date at the top changes when we do, and for a material change we will tell you in the Service or by email. Continuing to use the Service after a change takes effect means you accept it.

12. Governing law

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules, unless your agreement with us says otherwise.
